Terms and Conditions
These terms govern the relationship between PacWest Digital ("PacWest," "we," "us") and you ("the Client," "you") when you engage PacWest for services or use this website. By engaging PacWest or using this site, you agree to these terms.
1. Services
PacWest provides dedicated Google acquisition systems and related local search services for independent restoration companies. This typically includes:
- Deployment of a Google-focused acquisition site separate from your existing website
- Google Business Profile setup, optimization, and ongoing management
- Local search and Google Maps visibility work targeting emergency restoration keywords
- Call tracking and inbound lead attribution
- Review generation and review response support
Specific deliverables for your engagement are confirmed in writing before work begins.
2. Engagement Structure and Pricing
PacWest engages with a maximum of ten clients at a time, one company per geographic market. Pricing is the same for every market:
- Setup fee: a one-time fee covering acquisition site build, Google Business Profile optimization, call tracking setup, and initial work. Confirmed in writing before kickoff.
- Pilot (Months 1, 2, and 3): $2,500 per month. This is half the ongoing rate and is intended to allow you to evaluate real results before committing to the full retainer.
- Ongoing (Month 4 and beyond): $5,000 per month, billed monthly. Month-to-month with no long-term contract. You may cancel by providing thirty (30) days' written notice.
All amounts are in United States dollars and are due in advance of each service period. Late payment may result in temporary suspension of services until the balance is current.
3. Ownership of the Acquisition Site
The Google-focused acquisition site we build for you is built specifically for your company and your market. Upon successful completion of the pilot period, full ownership of the acquisition site is transferred to you. You retain ownership of the site, the content within it, and the domain (if registered in your name) regardless of whether the engagement continues afterward.
If the engagement ends during the pilot for any reason, ownership of unfinished work product remains with PacWest unless otherwise agreed in writing.
4. Your Existing Website
PacWest does not modify your existing website unless specifically scoped and agreed in writing. Any work performed on your existing website is billed separately and outside the standard engagement.
5. Your Responsibilities
To deliver on this engagement, we rely on you to:
- Answer inbound calls promptly during business hours, or have a system in place to do so
- Provide accurate company information, service areas, certifications, and assets as requested
- Pay invoices in a timely manner
- Not engage another vendor for the same Google-focused acquisition work in your market while we are engaged
6. No Guarantee of Specific Results
While PacWest's methods are designed to improve Google visibility and inbound emergency call volume, no specific outcome is guaranteed. Search rankings, click-through rates, call volumes, and revenue depend on many factors outside our control, including search engine algorithm changes, market competition, seasonality, and your operational capacity to convert leads. Any figures shown on our website, in calculators, or in projections are illustrative and not promises of results.
7. Intellectual Property
PacWest retains all rights to its proprietary methods, tools, internal documentation, training materials, and workflows. The deliverables produced specifically for you (your acquisition site, your content, your call tracking records) belong to you after ownership transfer per Section 3.
8. Confidentiality
Each party agrees to keep confidential any non-public information shared during the engagement, including business performance data, pricing details, and operational specifics. This obligation continues for two years after the engagement ends.
9. Limitation of Liability
To the maximum extent permitted by law, PacWest's total liability arising out of or related to these terms or the services shall not exceed the total fees paid by you to PacWest during the three months immediately preceding the event giving rise to the claim. In no event shall PacWest be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or lost business opportunities.
10. Indemnification
You agree to indemnify and hold PacWest harmless from any claims arising from your business operations, your handling of leads we generate, the accuracy of information you provide us, or your use of services delivered.
11. Termination
Either party may terminate the engagement after the pilot period with thirty (30) days' written notice. PacWest may terminate immediately for non-payment, material breach, or conduct that damages the engagement (including operating outside agreed market boundaries). Upon termination, you remain responsible for fees through the end of the current service period.
12. Website Use
The content on this website is provided for informational purposes. You may not scrape, copy, redistribute, or use our content to train AI models without prior written permission. Submissions through the contact form are subject to our Privacy Policy.
13. Governing Law
These terms are governed by the laws of the State of Washington, United States, without regard to its conflict of law principles. Any dispute shall be brought in the state or federal courts located in Whatcom County, Washington.
14. Changes to These Terms
We may update these terms from time to time. The most recent version is always available at this URL. Continued use of our services after an update constitutes acceptance of the updated terms.
